The performance fee is calculated daily and paid quarterly, and any underperformance from prior periods must be recouped before a performance fee is paid.

The Fund is available only to investors who qualify as Wholesale Clients under section 761G of the Corporations Act 2001 (Cth), or to other persons not required to be given a regulated disclosure document under the Act.

What is a Wholesale Client, or sophisticated investor?

A sophisticated investor is a person with a certificate from a qualified accountant certifying that they have a prescribed net asset or gross income level. The certificate provides an exemption under the Corporations Act 2001 (Cth): the holder can be offered financial products without a regulated disclosure document such as a prospectus or product disclosure statement.

A person holding a certificate is a:

  • “sophisticated investor” for the purposes of Chapter 6D, if offered debt or shares, and
  • “wholesale client” for the purposes of Chapter 7, if offered a financial product (other than insurance, superannuation or a retirement savings account product or service) not used in connection with a business.

To be eligible for a certificate, you must have:

  • gross income of $250,000 or more per year in each of the previous two years, or
  • net assets of at least $2.5 million (regulations 6D.2.03 and 7.1.28).

A certificate is not the only pathway. A person also qualifies as a Wholesale Client where:

  • they invest $500,000 or more, with no certificate required, or
  • they are a professional investor as defined in the Corporations Act.
